Employees, directors and officers of Industrie USA LLC , Inc (“Organiser”), and the immediate family members of such employees, directors, and officers, participating online retailers and their respective parent companies (if any), affiliates, subsidiaries, and divisions, advertising and promotion agencies, and Industrie Clothing Pty Ltd. (“Administrator”) and all others associated with the design, execution, production, development, promotion and distribution of this competition or connected to this competition in any way, are not eligible to enter. For the purposes of the competition, “immediate family members” is defined as spouse, domestic partner, parent, grandparent, children, siblings and their spouses and persons living in the same household (whether related or not). The competition is subject to all federal, state and local laws. U.S. law governs the competition.

COMPETITION TIMING/DESCRIPTION/PRIZE OFFERING: The competition begins at 12:00:00 AM Pacific Time (PDT) on Tuesday 23rd April, 2024 and ends at 11:59:59 PM PDT on May 5th, 2024 (the “Competition Entry Period”). Organisors’s computer will be the official timekeeping device for this competition. Eligible Participants must follow the Instagram account handle @industrieclothingus and will receive extra entries for tagging additional (legitimate) accounts during the competition Entry Period. There will be different creative presentations of this competition promoted to the public by Website + EDM + Social (“participating online platforms”) throughout the competition Entry Period. Three (3) Prizes will be awarded in a random drawing from among all eligible entries received from all creative presentations during the competition Entry Period (see Rule #6). The names of participating platforms and products mentioned in this competition may be the trademarks of their respective owners.

HOW TO ENTER: There is one (1) way to enter this competition: online.

1) Online Entry Method: Eligible Participants must follow the Instagram account handle @industrieclothingus. An Eligible Participant is eligible for an extra entry if they tag another (legitimate) account during the competition Entry Period. Eligible Participant must provide all of the information, and complete all of the submission steps. For each eligible email address submitted, Eligible Participants will receive one (1) entry in the competition. All entries must be received by 11:59:59 PM PST on May 5^th, 2024 in order to be eligible. Any entries submitted outside of the Competition Period will be invalid and disregarded. 

All entries that are incomplete or fail to comply with these Terms and Conditions will be disqualified from the Competition.

The Organiser reserves the right to disqualify an entry at any time if the Organiser reasonably believes that the entrant is not an Eligible Entrant. If this Competition is interfered with or tampered with in any way or is not capable of being conducted as reasonably anticipated due to any reason beyond the reasonable control of the Organiser, including but not limited to technical difficulties or unauthorised intervention or fraud, the Organiser reserves the right, in its sole discretion, to the fullest extent permitted by law: to disqualify any entrant; or to modify, vary, suspend, postpone, terminate or cancel the Competition, as considered appropriate by the Organiser. 

By entering the Competition, you irrevocably:

Consent to the Organiser and any Promoter using:your name and / or likeness; and any images or video that you appear in and that you provide to the Organiser as part of, in connection with, or related to the Competition, regardless of whether it formed part of your entry, in its advertising or promotion of the Competition generally, in the Organiser’s public relations, as well as the advertising of any future similar competitions conducted by the Organiser in any medium, without any payment to you; and assign to the Organiser all intellectual property rights in any copy, images or video that you provide to the Organiser as part of, in connection with, or related to the Competition, regardless of whether it formed part of your entry.

Liability

Nothing in these Terms and Conditions limits, excludes or modifies or purports to limit, exclude or modify the statutory consumer guarantees. Except for any liability that cannot by law be excluded, including the Non-Excludable Guarantees, the Promoter (including its officers, employees, contractors and agents) excludes all liability (including negligence), for any personal injury; or any loss or damage (including, but not limited to, loss of or damage to property, loss of opportunity or loss of profits); whether direct, indirect, special or consequential, arising in any way out of, or related to, the Competition or the Prize.

Except for any liability that cannot by law be excluded, including the Non-Excludable Guarantees, the Promoter (including its respective officers, employees and agents) is not responsible for and excludes all liability (including negligence), for any personal injury; or any loss or damage (including, but not limited to, loss or damage to property, loss of opportunity or loss of profit); whether direct, indirect, special or consequential, arising in any way out of: any technical failure or related issues (whether or not under the Promoter’s control); any entry that is received after the Competition Period; any claim of the Prize outside of the claim procedure requirements; any failure on the part of the Winner to provide any identity evidence or other information or documentation reasonably requested by the Promoter;

unavailability or inaccessibility of the Instagram Account, either Website and / or the Entry Form during the Competition Period; electronic or human error; an entrant failing to provide accurate information at the time of entry or when claiming the Prize; any entry or claim of the Prizes that is not received by the Promoter as required for any reason beyond the reasonable control of the Promoter; taking of and use of any of the Prize; any theft, unauthorised access or third party interference in the Competition; any damage to the Prize after it has been provided to the Winner; or any tax liability incurred by the Winner. 

To the extent that any liability, loss or damages cannot be excluded, but can be limited, the Promoter limits its liability for them to the minimum amount permitted by law.   

To the maximum extent permitted by law, the Promoter makes no warranties or representations about the fitness for purpose or suitability of the Prize and accepts no responsibility for the quality or fitness for any purpose of the Prize, or the failure of the Prize to be of merchantable quality. If the Promoter’s liability cannot be excluded but can be limited, the liability of the Promoter is limited to re-supplying the relevant goods or services or paying the cost of repairing or replacing them.

The Promoter is not responsible for any entries unable to be counted as valid entries where the Eligible Entrant has used multiple social media accounts to enter the Competition.

DETERMINATION OF GRAND PRIZE WINNER: A potential Grand Prize winner will be selected in a random drawing on or about May 6, 2024 from among all eligible entries received. The random drawing will be conducted by Industrie Stateside, Inc. Administrator’s/Organiser’s decisions are final on matters relating to this competition. The potential Grand Prize winner(s) will be notified by Instagram DM (direct message) about April 7, 2024. PRIZE: In order to claim the Prize, the Winner must undertake the Claim Procedure. 

The Voucher Prize is not redeemable for cash and is not transferable. The Prize must be taken as offered and will not be varied. If the Prize is unavailable due to no fault on the part of the Organiser, the Organiser, in its discretion, reserves the right to substitute the Prize with another prize of equal or greater value. Subject to the clause of these Terms and Conditions, provided that the winner of the Competition claims the Prize in accordance with the Claim Procedure, the Organiser will deliver the Prize to the winner of the Competition in accordance with the Prize Delivery Procedure. 

The Organiser reserves the right to request any evidence of the identity of any winner of the Competition prior to awarding the prize. In the event that any winner is unable to produce any identity verification evidence requested by the Organiser as requested, the Organiser reserves the right to disqualify that person and redraw the Competition. If the Winner fails to undertake the Claim Procedure as required, the Organiser may disqualify that person from the Competition and redraw a replacement winner of the Competition (“Replacement Winner”). Any further draw required to take place to select a Replacement Winner will take place within seven (7) days of the Winner failing to undertake the Claim Procedure during the timeframe required, using the same random selection software used to draw the Winner.

The same process will be followed to announce any Replacement Winner and to award the prize to that Replacement Winner, save that the announcement of any Replacement Winner will be within one business day of the further draw taking place to select the Replacement Winner.

CONDITIONS OF PARTICIPATION :In order to conduct the Competition, the Organiser will collect some personal information from you. The Organiser will handle any personal information collected from you in accordance with the Privacy Policy and these Terms and Conditions. To the extent of any inconsistency between the Privacy Policy and these Terms and Conditions, these Terms and Conditions will apply in respect of personal information collected as part of the Competition.  The Organiser may disclose your personal information to third parties, including but not limited to agents, contractors, service providers, the Promoters and any suppliers of the Prize. Your entry into the Competition is conditional on providing the Organiser with the personal information requested. The Organiser may use the personal information provided by you for promotional, marketing, publicity, research and profiling purposes, including contacting you or marketing the Organiser’s business and product offerings to you following the Competition. You may opt-out of any marketing communications using the options available in any communication sent to you. Entrants agree to abide by the terms of these Official Rules and the decisions of the judges and Sponsor, which are final, and waive any right to claim ambiguity in these Official Rules. Entrants agree that any and all disputes shall be governed by the laws of the State of Illinois.

CHOICE OF LAW/JURISDICTION AND DISPUTE RESOLUTION: This competition is offered only in the fifty (50) United States and the District of Columbia and is governed and construed in accordance with the laws of the State of Illinois, without giving effect to the conflict of laws rules thereof.

BINDING ARBITRATION, NO CLASS ACTION: Please read this Section carefully. By entering, entrants irrevocably consent to the dispute resolution procedures stated below as well as to the sole and exclusive jurisdiction of the courts of the State of Illinois located in the county of Cook for any action, suit or proceeding arising out of or relating to this Sweepstakes.

Any dispute or claim between Entrant, on the one hand, and Sponsor or Administrator, subsidiaries, affiliates, agents, employees, and assigns, on the other hand (“Claims”) will be resolved exclusively by binding arbitration, rather than in court. There is no judge or jury in arbitration, and court review of an arbitration award is limited. Further, entrants will not have the right to participate as a representative or a member of a class of claimants. However, except as excluded in Section (7), an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages).

Claims include, without limitation, (1) Claims related to or arising out of any aspect of any relationship between you and Sponsor; or Administrator and (2) Claims relating to the construction, scope, applicability, or enforceability of this arbitration agreement. The term “Claim” has the broadest possible meaning and includes disputes based on contract, tort, consumer rights, fraud or other intentional torts, statutes, regulations, common law, or equity. Notwithstanding the foregoing, “Claim” does not include an action solely to enjoin infringement or other misuse of intellectual property rights, which may be filed in court.

Entrant, Sponsor, and Administrator agree to provide written notice of any Claim and attempt in good faith to resolve the dispute before beginning an arbitration proceeding. Notice to Sponsor shall be sent to PowerReviews Inc., 1 North Dearborn Street, Suite 800, Chicago, IL 60602, Attn: Legal.

Notice to Administrator shall be sent to the address noted below. If the dispute cannot be resolved within 30 days of providing written notice, any party may initiate an arbitration.

The arbitration will be administered by JAMS. The JAMS arbitration rules can be obtained at www.jamsadr.com or 1-800-352-5267. The arbitration will be decided by a single arbitrator selected in accordance with JAMS rules. The arbitrator will take reasonable steps to protect proprietary and confidential information. At Entrant’s or Sponsor’s request, the arbitrator will issue a reasoned written decision explaining the basis for the award.

No class action, private attorney general, or other representative claims may be pursued in arbitration. Unless agreed in writing, Claims of two or more people cannot be joined or consolidated in the same arbitration.

To the extent permitted by law, the existence of the arbitration, the arbitration proceedings, and the outcome of the arbitration will be treated as confidential and will not be disclosed by any of the parties.

An arbitration award is limited to actual damages. The arbitration award shall not include statutory damages, disgorgement of profits, lost profits, consequential damages, or punitive damages. The parties will equally split the arbitrator’s fees and expenses, and each party shall pay its costs and attorney’s fees.

This Promotion involves interstate commerce and these Official Rules and any arbitration proceedings are governed by Illinois law consistent with the Federal Arbitration Act. Any Claim or other dispute between the parties will be governed by these Official Rules and the laws of the state of Illinois and applicable United States law, without giving effect to any conflict of laws principles that may provide for the application of the law of another jurisdiction.
